These Terms and Conditions govern your use of erp-consultants.org and any services provided through it. By accessing the website or engaging our services, you agree to these terms.
Definitions
For clarity, the following definitions apply:
- Agreement – The written contract, proposal, or accepted scope defining services.
- Client Content – Materials provided by the client for inclusion in a project.
- Deliverables – Work outputs specified in the Agreement.
- Company Tools – Internal methodologies, templates, frameworks, or reusable materials owned by erp-consultants.org.
- Final Deliverables – Completed and approved work delivered to the client.
- Project – The defined scope of services agreed between the parties.
- Services – Consulting, development, advisory, or related professional services.
- Third-Party Materials – External tools, software, or services not owned by us.
Provision of Services
Services are delivered in accordance with the milestones and scope defined in the Agreement. We apply professional judgment and commercially reasonable efforts in carrying out our work.
Delivery timelines may depend on timely client cooperation and external circumstances.
Proposals and Validity
Proposals remain valid for thirty (30) days unless otherwise stated. If not accepted within this timeframe, we may revise and resubmit them.
Fees and Related Costs
Unless expressly included in the Agreement:
- Third-party costs are billed separately.
- Approved project-related expenses may be charged at cost.
- Clients are responsible for applicable taxes related to services.
Payment Terms
Invoices are due within five (5) days unless otherwise agreed in writing. Milestone-based payment schedules may apply as defined in the Agreement.
Failure to pay on time may result in suspension of services.
Changes to Scope
All scope modification requests must be submitted in writing.
Minor adjustments that do not materially affect cost or timeline may be incorporated within the existing Agreement. Significant changes require a supplemental written agreement.
Revised proposals are generally valid for fourteen (14) working days.
Delays
If delays arise due to incomplete client materials, late approvals, or other client-side issues, project timelines may be extended accordingly.
If delays occur on our side, we will communicate promptly and seek a reasonable solution.
Events beyond reasonable control, including unforeseen disruptions, are not considered breaches and may extend timelines.
Review and Acceptance
We conduct internal quality checks before submitting Deliverables.
Clients have seven (7) working days to review delivered work and provide feedback. Reasonable revisions will be addressed within an agreed timeframe.
Client Responsibilities
Clients must provide lawful, accurate, and ready-to-use materials. They are responsible for ensuring they have rights to supplied content.
Unless otherwise agreed, clients are responsible for final proofreading and timely decisions related to third-party services.
Attribution and Portfolio Rights
Unless restricted in writing, we may include a discreet accreditation reference within completed projects.
We may also showcase completed work in our portfolio. Neither party should unreasonably restrict factual acknowledgment of collaboration.
Confidential Information
Both parties agree to maintain the confidentiality of non-public information. Confidential information does not include information that is publicly available or lawfully obtained.
Independent Contractor Relationship
Erp-consultants.org operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or exclusivity relationship unless expressly agreed in writing.
We may engage subcontractors while remaining responsible for service delivery.
Limitation of Liability
Services are provided on an “as is” basis to the extent permitted by applicable law.
Our total liability for any claim related to services is limited to the amount paid for the specific services giving rise to the claim.
Intellectual Property Rights
Upon full payment, clients receive a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
Company Tools and reusable frameworks remain our property unless explicitly transferred in writing. Redistribution or modification beyond agreed use may be restricted.
Support Services
Support services are provided only if separately agreed in writing and may involve additional fees.
Any warranty may become void if Deliverables are altered by third parties without authorization.
Updates to These Terms
We may update these Terms and Conditions periodically. The version published on erp-consultants.org governs ongoing use. Continued use of the website or services indicates acceptance of updated terms.
